Indoor Exhibit Contract Terms, Conditions, Rules & Regulations
As an Exhibitor at NBAA2010, you must agree to the NBAA2010 Exhibit Contract Terms, Conditions, Rules & Regulations and all terms in the Exhibit Space Contract/Application and Exhibitor Service Kit.
Note: All Exhibitors and Co-Exhibitors at NBAA2010 must be Members of NBAA. Non-Member Companies wishing to Exhibit, or wishing to participate as Co-Exhibitors, must join NBAA before Exhibit Space can be assigned. Exhibitors not paid in full will not be assigned Exhibit Space. All Exhibitors and Co-Exhibitors must be current on all accounts with NBAA and paid in full for their Exhibit Space in order to occupy Space at the Georgia World Congress Center.
Contract
By submitting the Application/Contract for Exhibit Space, Exhibitor agrees to abide by these Terms, Conditions, Rules & Regulations, and all amendments thereto and decisions of NBAA. The Application/Contract for Exhibit Space becomes a binding contract between NBAA and Exhibitor upon NBAA’s acceptance of Exhibitor’s Application/Contract and issuance of a confirmation and invoice to Exhibitor.NBAA reserves the right:
- To prohibit any Exhibit or part thereof which, in its sole opinion, violates this Contract or in any other way, is not suitable to, or in keeping with, the character and spirit of the Convention.
- To close an Exhibit which, in its sole opinion, violates this Contract during the course of the Convention.
- To refuse to permit an Exhibitor which, in its sole opinion, violates this Contract to participate in one or more future NBAA events by reason thereof.
- To change the Floor Plan (including, but not limited to aisle space), without notice, in order to comply with fire, safety and accessibility regulations or to provide, in its exclusive judgment, a safer, more satisfactory, attractive and successful Convention.
Certificate of Insurance
All Exhibitors are required to provide NBAA with a Certificate of Insurance evidencing Commercial General Liability and Worker’s Compensation and Employers Liability coverage prior to move in.
Hanging Signs & Other Exhibit Materials
In the interest of safety, with the exception of Perimeter Booths, Exhibitors’ signs or other materials may not be attached to the ceiling or overhead beams of the Georgia World Congress Center, in any manner. Spotlights may be used if they are focused on the Display and do not interfere with other Exhibits. The majority of the ceiling heights inside the Georgia World Congress Center Exhibit Halls are 30 ft. There are, however, some areas located around the perimeter of Halls B and C where the ceiling height drops to 28 ft; and, some areas in Hall B have ceiling heights of 16 feet. The lower ceiling areas are indicated on the floor plan by a dotted line (----).
Exhibitors requiring signage or spotlight rigging to be hung over Perimeter Booths must submit requests for approval to NBAA prior to ordering services. Requests should be submitted to NBAA before August 27, 2010.
Hanging signs, exhibit materials or components are permitted above perimeter (closest to the walls) Exhibit Booths only. Lighting trusses are permitted above all Island Booth placements, provided the ceiling height allows for it. All Exhibitors with In-Line Booths and all Non-Island Booths are prohibited from attaching or hanging anything whatsoever to/or from any part of the Georgia World Congress Center.
Helium Balloons
Helium balloons and remote-controlled blimps are not permitted in the Georgia World Congress Center.
Defacing Property
No part of an Exhibit, or signs relating thereto, may be taped, nailed, tacked, stapled, pasted or otherwise fastened to ceilings, walls, doors, windows, painted surfaces, columns, marble or fabric in any way. No holes may be drilled, cored or punched in the walls or floors of the Georgia World Congress Center. No application of paint on signs, displays or other objects are permitted in the Georgia World Congress Center. The use of adhesive-backed decals or similar items also is prohibited. Damages to the Georgia World Congress Center resulting from failure to observe these rules will be billed to the Exhibitor.
Finished Booth Backwalls
Exposed parts of displays (including backs) must be completely finished so that they are not objectionable to other Exhibitors, Attendees or NBAA.
Display Must Fit Within Purchased Space
All display materials and demonstrations must be confined to the limits of the Exhibitor’s purchased Exhibit Space at the Georgia World Congress Center. Therefore, please plan appropriate Booth size. If many people are expected to congregate at one time, demonstration areas should not be placed on the aisle line of the Exhibit. Normal aisle traffic cannot be interfered with at any time. The Association reserves the right to restrict Exhibits that become objectionable because of noise, method of operation or for any other reason.
Noise Enforcement
In order for NBAA to ensure the best possible environment for our Exhibitors and Attendees to conduct business, Exhibitors must refrain from using loud music or live demonstrations which are objectionable to surrounding Exhibitors. NBAA reserves the right to restrict Exhibits that because of noise, method of operation or any other reason become objectionable.
Installing & Dismantling Exhibits
All indoor Exhibits must be set and in place by 3:00 pm on Monday, October 18, 2010, so that aisle carpeting can be installed. Exhibitors may continue to work inside their Booth Space after this time, however, all cartons, crates, boxes, etc. must be removed from the aisles surrounding their Space. If Exhibit Space is not occupied by 3:00 pm on Monday, October 18, 2010, NBAA will consider it canceled by the Exhibitor and will assume the right to use such Space as deemed appropriate. Exhibits at the Convention Center must not be dismantled before 4:00 pm on Thursday, October 21 2010. Exhibitors found in violation of this rule will be ineligible for the indoor Priority-One, -Two or -Three Lotteries for NBAA2011.
Liability
The Exhibitor is solely responsible for the safeguarding of materials, equipment and Displays at all times. The Association employs general security when the Exhibit Hall and Static Display are closed. NBAA, the Georgia World Congress Center, Freeman and DeKalb Peachtree Airport are not responsible for any loss, theft, damage, injury or destruction of Exhibitor’s property or the property of its agents or employees, by or from any cause whatsoever. The Exhibitor expressly releases the Association, the Georgia World Congress Center, Freeman and DeKalb Peachtree Airport and their respective officers, employees, Members and agents, from any and all claims for such loss, theft, damage, injury or destruction, or for loss of goodwill (whether or not in relation to any property). It is suggested that Exhibitors obtain insurance covering losses, such as theft and damage to property. The Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and hold NBAA, the Georgia World Congress Center, Freeman and DeKalb Peachtree Airport and their respective officers, employees, Members and agents harmless from and against any and all claims, losses, injuries and damages to persons or property, governmental charges or fines and attorney’s fees arising out of or caused by Exhibitor’s installation, removal, maintenance, occupancy or use of the Georgia World Congress Center and DeKalb Peachtree Airport, or any part therefore, or arising out of or caused by Exhibitor’s participation in Exhibition activities.
Exhibitor must comply at all times with the Rules & Regulations of NBAA, the Georgia World Congress Center, Freeman and DeKalb Peachtree Airport. These Rules & Regulations are subject to change prior to the time the Convention is held. Failure to follow the Rules & Regulations of NBAA, the Georgia World Congress Center, Freeman and/or DeKalb Peachtree Airport will constitute a breach of contract. In addition, by submitting the NBAA2010 Exhibit Application/Contract and/or Static Display Application/Contract, the Exhibitor agrees to comply with NBAA’s interpretation of its Rules & Regulations. Complete Rules & Regulations for the Georgia World Congress Center and the Static Display of Aircraft on DeKalb Peachtree Airport will be included in the Exhibitor Service Kit, scheduled for distribution in mid-June 2010.
Official Contractors
NBAA has agreements with Official Contractors to provide various services to Exhibitors. These Official Contractors will provide all Convention services, other than supervision. Exhibitors will provide only the material and equipment that they own and intend to use in their Exhibit Space. All other items or Convention services may be provided only by the Official Contractors, or as set forth in the Exhibitor Service Kit, which contains forms and instructions for obtaining the necessary services and will be available in mid-June. All services not ordered in advance must be procured through the Exhibitor Service Desk located in the Georgia World Congress Center. Exceptions to the foregoing will be considered only in cases where NBAA has received a written request from the Exhibitor no later than August 27, 2010. To be eligible for consideration as an exception, Exhibitor must attach the following to its request:
- An original, valid certificate of insurance for its’ Exhibitor Appointed Contractor with the following limits: proof of the Exhibitor-appointed contractor’s Workers’ Compensation insurance with the limit to be at least $1,000,000; and Employer’s Liability and General Liability limit to be at least $1,000,000.
- A description of the work to be done and the personnel to be used.
- Evidence of any and all business permits, licenses, insurance, and/or fees that may be required by the applicable state, county or local authorities with respect to the work performed and.
- The Request for Set-up by an Exhibitor Appointed Contractor Form from the Exhibitor Service Kit.
An exception will not be granted if it is inconsistent with the commitments and obligations assumed by NBAA in any contract with Official Contractors, or in its agreement with the Georgia World Congress Center. No exception will be made for the following services: electrical, plumbing, telephone, internet, cleaning, material handling (including all movement of material and equipment); the Official Contractor must be used for these services. To make it possible to set up the Show in the limited time available and to avoid confusion and congestion, the official material handling contractor must control all inbound and outbound traffic in loading and unloading areas, in aisles and in any other freight traffic patterns.
Move In – Georgia World Congress Center
Exhibitor move in to the Georgia World Congress Center will be on a targeted schedule beginning on Wednesday, October 13, 2010. A targeted move-in floor plan will be included in the Exhibitor Service Kit, scheduled for distribution in mid-June 2010. Exhibitors requiring additional hours for set up should make prior arrangement with either NBAA’s Linda Peters (lpeters@nbaa.org) or Margie Morgan (mmorgan@nbaa.org).
Move Out – Georgia World Congress Center
Move out begins Thursday, October 21 at 4:00 pm. All materials must be removed from the Georgia World Congress Center by Sunday, October 24, 12:00 noon.
Parking at the Georgia World Congress Center
All parking at the Georgia World Congress Center, including handicap-accessible parking, is available on a first-come, first-served basis. The fee for parking at the Georgia World Congress Center, is $10.00 per car per entry and $15.00 for oversized vehicles (i.e., buses), per entry. Exhibitors and Attendees may make parking purchases for the Georgia World Congress Center online.
Accommodations For Attendees with Disabilities
NBAA will provide reasonable accommodations to individuals with disabilities who make their situation known to NBAA personnel. Reasonable accommodations are those that do not create an undue hardship on NBAA, change the nature of scheduled events or activities, or pose a safety or health threat to other NBAA Attendees. Individuals with disabilities who wish to use personal powered vehicles at the Convention are urged to contact NBAA’s Cheri Rudd (crudd@nbaa.org) in advance for approval. It is NBAA’s policy that these vehicles be specifically used for handicapped individuals and exhibit the stability required to operate around Exhibits and aircraft. For safety reasons, only officially approved vehicles are permitted to operate in the GWCC Exhibit Hall. Contact Cheri Rudd at NBAA to obtain information for a supplier of such vehicles. Only trained service animals with proper supervision are permitted at NBAA2010.
Children
NBAA2010 is a business event. Children under the age of 12 are never permitted into the Convention Center Exhibit Halls – under any circumstances. Children ages 12 to 17 will be permitted into the Exhibit Hall during official Exhibit hours only provided that they register, pay appropriate fees and are accompanied by an adult at all times. Children ages 12 to 17 WILL NOT be permitted in the Exhibit Hall during installation and teardown. NBAA will not be held responsible by or for any cause whatsoever.
Cleaning at GWCC
NBAA will arrange to clean aisles prior to opening each Show day. This service does not include dusting, arranging or otherwise maintaining Exhibits. Exhibitors must keep their Exhibits neatly organized. Freeman is the exclusive provider of booth vacuuming at NBAA2010. Other than Freeman, only full-time employees of Exhibiting Companies are permitted to vacuum Exhibit Space.
Direct Selling
Direct selling on the Exhibit Floor, canvassing and/or distribution of publications/marketing materials/show dailies outside of assigned Exhibit Space, including all Booth-to-Booth distribution, is prohibited. Canvassing and solicitation, except by Exhibiting Companies, are prohibited within 50 miles of the NBAA 63rd Annual Meeting & Convention.
Staffing Requirements
Exhibit Displays must be fully staffed during the official Exhibit hours. Exhibitors will be admitted to the Exhibit Hall at 7:00 am each Show day for early preparations of Displays only. No activities, except Display preparations, are to be scheduled in the Exhibit areas at any time other than official Exhibit hours. NBAA reserves the right to make changes to the Exhibit hours schedule with advance notice.
Electrical Equipment
Electrical equipment must be UL-approved and gasoline engines AGA-approved. Electrical equipment, regardless of sources of power, must comply with the U.S. National Electrical Code and federal, state and local safety requirements. All equipment must be tagged properly or marked with complete information as to the type and/or amount of current, voltage, phase, frequency and horsepower required.
Temporary wiring is to be accessible and free from debris and storage materials. Hard-backed Booths must have power supplies located where easily accessed. Electrical cords and connectors are to be accessible and left uncovered. One-hundred-and-twenty-volt (120 V) extension cords must be the three-wire, 12/3-grounded type. Exposed, non-current carrying metal parts of fixed equipment, which are liable to be energized, must be grounded. Cords cannot support connectors. Multi-plug connectors should be UL-approved with built-in overload protection. Connectors in excess of Ampere rating are not to be used. Open-clip sockets, latex or lamp-cord wire and unapproved duplex or triplex attachment plugs in Exhibits are prohibited.
The Georgia World Congress Center is the exclusive provider of all extension cords. Exhibitors and Exhibitor-appointed contractors are not permitted to bring in their own extension cords.
No storage of materials of any kind is allowed behind Booths or near electrical service. Materials necessary to the Exhibit should be limited to a one-day supply and stored neatly within the purchased Space.
Electric current may be utilized for the operation of apparatus that does not produce noises of an annoying nature.
Badges
Exhibitors are provided five badges without charge for each 10 ft by 10 ft Exhibit Space reserved, up to a maximum of 100 badges. Badges beyond the five per Exhibit Space quota may be ordered in advance for $85 per Badge. If an Exhibitor utilizes the services of an Exhibitor Appointed Contractor (EAC) during official Show hours, the Exhibiting Company must provide Exhibitor Badges for those personnel.
Exhibitor Service Kit
An Exhibitor Service Kit for indoor Exhibits will be available to all Exhibitors who are paid in full by mid-June 2010.
Fire Safety Regulations
All exits and exit aisles must be kept clear and unobstructed. No furniture, signs, easels, chairs or Displays may protrude into aisles. Fire hose cabinets, fire extinguishers, sprinklers or any other fire-safety device must not be hidden, obstructed or otherwise disturbed. All materials used in Exhibit construction, decoration or as temporary cover must be certified as flame retardant. Inflammable fluids, substances, or materials of any nature may not be used. All materials and installations must comply with the requirements of inspection by the Georgia World Congress Center Public Safety Department. The use of propane or bottled gas, flammable gases and compressed gas cylinders, including LPG, flammable thinners, solvents, paints and aerosol cans are strictly prohibited within the Georgia World Congress Center.
Fire Safety Regulations – Aircraft, Helicopter & Vehicle
Aircraft, helicopters and vehicles on display in the Georgia World Congress Center must have fuel filler caps locked or sealed, and battery cables must be disconnected and taped to avoid potential sparks while on display. Aircraft on display must also have a ground wire attached to prevent static build-up. Keys must be accessible to Show Management and facility at all times. The maximum amount of fuel permitted in aircraft flown to the GWCC display site is the minimum reserve required by Federal Aviation Regulations (FARs). Fuel tanks on aircraft not flown to the GWCC display site should be empty.
Fire Safety Regulations – Ground Vehicle
Ground vehicles displayed in the Georgia World Congress Center should have the smallest amount of fuel (maximum of two (2) gallons; only enough to drive into the building and drive out safely). The gas cap must be a locking type or must be sealed with tape. All batteries are required to be disconnected while vehicles are on display. "No Smoking" signs must be posted within 50 ft of the vehicle. All external and internal tanks should be taped to create a vapor seal at each fueling point. Keys must be accessible to Show and Georgia World Congress Center Management at all times. Vehicles may not be started, run or moved during official Show hours.
Food and Beverage Service
Levy Food Services is the exclusive Food and beverage service provider in the Georgia World Congress Center. Exhibitors may not dispense food and/or beverages of any kind, including bottled water, without written permission from the Georgia World Congress Center and Levy Food Service. Food and beverage approval request forms will be included in the Exhibitor Service Kit. Food and/or beverages purchased outside of the Georgia World Congress Center may not be brought indoors and consumed within the building. Alcoholic beverages are not permitted in Exhibit Booths.
Rigging
Freeman is the exclusive provider of labor for assembly and installation of all hanging equipment, trusses and signs at the Georgia World Congress Center. Due to safety regulations and liability issues, outside contractors will not be permitted to assemble and/or install any hanging structures.
Security
When the Exhibit Halls are open, NBAA will provide some perimeter security staffing. Notwithstanding the foregoing, the Association, Freeman and the Georgia World Congress Center will not be liable for loss or damage to Exhibitor’s property, as further provided under the section entitled "Liability." Exhibitors are advised to obtain additional insurance coverage in advance to cover losses, such as theft and damage to property.
Sharing Exhibit and/or Static Display Space (Co-Exhibitors)
Exhibitors must notify NBAA Management of all Co-Exhibiting Companies/Companies sharing Exhibit Booth Space to ensure that Booth signage and Show Guide listings are accurate. No Exhibitor will assign, sublet or share the whole or any part of purchased Exhibit Space without the knowledge and consent of the Association. Failure to advise NBAA of shared Exhibit Space in advance (including displaying the advertising of another Company’s products or services) may result in an additional Exhibiting charge of $2,495/or $2,500 Static Display charge per Company, per Space. Advertising material of any description may be displayed and distributed only within the Display Space assigned to the Exhibitor presenting such material. No Exhibitor is to distribute materials Booth to Booth or outside of their assigned Exhibit Space.
Shipping/Storage
The Georgia World Congress Center cannot accept or store shipments in advance of the NBAA Convention. Any shipment that arrives at Georgia World Congress Center prior to the targeted move-in dates will be refused. The unloading and delivery of all materials and equipment from the Convention Center docks or other areas to Exhibitors’ Booths or assigned Spaces and loading out from same to vehicles must be performed by Freeman as the Official Contractor.
Limited hand-carry areas will be provided for the unloading of small items not requiring dollies, carts, etc. Small two-wheeled "luggage-type carts" will be allowed for moving small cartons through a designated hand-carry area. Exhibitors requiring larger wheeled devices to move their equipment or materials must contact Freeman for handling. Empty cartons, boxes and crates are to be labeled and removed for storage prior to Show opening. Storage of these items by or in Exhibits is prohibited. This rule will be enforced by the Georgia World Congress Center and NBAA. Freeman will receive and store Exhibits, and deliver them directly to the Exhibit Hall on set-up days. Freeman will also remove empty crates, provide storage during the Convention and return crates on dismantling day.
Smoking
Smoking is not permitted at any time in the Georgia World Congress Center.
Special Connections at the Georgia World Congress Center
Compressed air, water, drainage, electrical services and telephone/communication services are available solely through the Georgia World Congress Center.
Violations
By submitting the NBAA2010 Application/Contract for Exhibit Space, you agree to the NBAA2010 Contract, Terms, Conditions, Rules & Regulations and all terms in the Exhibit Space Contract/Application and Exhibitor Service Kit. In fairness to all participants, Exhibitors at the Georgia World Congress Center found in violation of NBAA’s Rules & Regulations will be required to make necessary changes on site at the Exhibitor’s expense. If satisfactory changes cannot be made, NBAA reserves the right to terminate all rights to the Exhibit Space, and the Exhibitor will forfeit all fees paid. Violating Exhibitors will be ineligible for the indoor Priority-One, -Two or -Three Lotteries in 2011.
Any person who attends an NBAA convention, conference, seminar or other program grants permission to NBAA, its employees and agents (collectively "NBAA") to record his or her visual/audio images, including, but not limited to, photographs, digital images, voices, sound or video recordings, audio clips, or accompanying written descriptions, and, without notifying such person, to use his or her name and such images for any purpose of NBAA, including advertisements for NBAA and its programs.
